They assist SPZ Legal and our clients with a wide variety of tax matters, including: complex employee benefits & compensation, corporate structuring (and restructuring), mergers & acquisitions, international tax matters, and many other topics. Examples of matters on which Baker Tax Law has supported SPZ Legal and our clients include: tax matters on acquisition of a client by a large financial institution; support in structuring spin off of new product into a separate company from an existing company; advising on compliance with transfer pricing rules for companies with multinational entity structures; and setting up a bespoke phantom equity plan in compliance with deferred compensation rules.

Caplan & Earnest has supported SPZ Legal and our clients with privacy policies structured to comply with COPPA and FERPA, and has supported an education company client with numerous matters ranging from best practices for contracts with minors and their parents, to policies for employees and students.

Startups are challenging and sometimes they have no choice but to go out of business. We have an engagement with a top-notch boutique firm - Bienert Katzman Littrell Williams LLP - who advises our clients on filing for bankruptcy and on alternative strategies.
Immigration
SPZ has an engagement with a firm that offers specialized immigration law services tailored to startup clients. They assist companies with navigating complex immigration processes to support them with attracting top talent. They support companies and their staff with securing work visas, applying for green cards, and other immigration matters. As an example of our work with the firm (beyond routine visa applications), we worked with them to advise our client on considering transferring a visa from another company to our client, and on structuring an intern program to attract international talent.
HIPAA
Because we support startups in the healthcare sector, we have an engagement with a firm that supports SPZ Legal and our clients with HIPAA compliance and commercial agreements in the healthcare sector, including reviewing and negotiating Business Associate Agreements (BAAs).
Employment Law
SPZ Legal has an open engagement with a national law firm specializing in employment law matters. The firm has 50-state coverage such that our clients can get the benefit of a large employment firm without needing to engage the firm on their own. We routinely work with the firm on a wide range of employment matters, including: personnel policies, employee classifications, workforce reductions, innovative employment models, and numerous other employment topics.
Delaware Law
As the primary jurisdiction for emerging venture backed companies, Delaware plays a huge role in the startup ecosystem. SPZ Legal has an engagement with a law firm specializing in Delaware corporate law matters so we can pull on advice of Delaware counsel for unique corporate governance and Delaware corporate law matters. As an example, we recently worked with Delaware counsel to structure a unique and bespoke recapitalization for a client in compliance with Delaware law.

From time to time, our clients sell into government agencies which requires unique expertise pertaining to government contracts.
